Terms and Conditions

These Terms and Conditions govern the use of the website bt-bridge.com, the related online request forms, booking flows, payment pages and services provided by BASARABIA TRANSIT BRIDGE S.R.L.

Please read these Terms carefully before submitting a request, sending documents, confirming an offer, making a payment or using any service provided by BTB.

By submitting a request, sending documents, confirming an offer, accepting a price, making an online payment or otherwise using BTB services, the Client agrees to be bound by these Terms and Conditions.

In these Terms, “BTB”, “we”, “us” or “our” means BASARABIA TRANSIT BRIDGE S.R.L.

1. Company information

In these Terms, “BTB”, “we”, “us” or “our” means BASARABIA TRANSIT BRIDGE S.R.L.

2. Definitions

For the purpose of these Terms:

Client means any company, trader, transport operator, freight forwarder, cargo owner, representative or individual who submits a request, sends documents, confirms an offer, makes a payment or uses BTB services.

Services means customs, transit, ferry booking coordination, documentation, port and terminal support, CHED / veterinary / phytosanitary coordination, ENS / ICS2 support, oversized cargo coordination and related operational assistance provided by BTB.

Request means any service request submitted through the website, online form, app, email, phone, messaging application or any other communication channel.

Offer means any price, fee, service description, quotation or commercial proposal communicated by BTB to the Client.

Third parties means customs authorities, ports, terminals, ferry operators, rail operators, shipping lines, inspection bodies, veterinary / phytosanitary authorities, payment processors, banks, carriers, warehouses, agents and any other external parties involved in the service process.

3. Scope of services

BTB provides coordination, documentation support and operational assistance for international transport and logistics-related procedures.

BTB services may include, depending on the request and applicable requirements:

  • transit declaration support, including T1 / T2 and related transit procedures;
  • ferry booking coordination and operational communication;
  • ENS / ICS2 documentation support;
  • CHED, veterinary and phytosanitary coordination support;
  • port and terminal documentation support;
  • customs brokerage coordination and operational consulting;
  • oversized and special cargo coordination;
  • communication support with relevant parties where applicable;
  • document review and preparation based on the information provided by the Client.

BTB may provide services directly or coordinate with third parties where required.

BTB does not act as a public authority, ferry operator, port operator, terminal operator, rail operator, inspection body or payment processor.

4. Acceptance of these Terms

The Client accepts these Terms when the Client does any of the following:

  • submits a request through the website, app or online form;
  • sends documents or cargo information to BTB;
  • confirms an offer, price or instruction by email, message, phone or any other communication channel;
  • requests BTB to start processing a service;
  • makes an online payment or bank transfer;
  • uses the result of any BTB service.

A separate signed contract is not required for these Terms to apply, unless BTB and the Client expressly agree otherwise in writing.

If a separate written agreement is signed between BTB and the Client, that agreement shall prevail only where it expressly conflicts with these Terms. In all other matters, these Terms continue to apply.

5. Client responsibility for documents and information

The Client is responsible for the accuracy, completeness, legality and authenticity of all documents, data and instructions provided to BTB.

This includes, but is not limited to:

  • commercial invoices;
  • packing lists;
  • transport documents;
  • bills of lading;
  • CMR documents;
  • vehicle and trailer details;
  • container numbers;
  • seal numbers;
  • HS / CN codes;
  • cargo description;
  • gross weight, net weight, number of packages and value;
  • origin and destination details;
  • consignee, consignor and carrier information;
  • licenses, permits, certificates or inspection documents where required.

BTB may rely on the documents and information provided by the Client without independently verifying their legal or factual accuracy.

If the Client provides incorrect, incomplete, late, inconsistent or misleading information, the Client is responsible for any resulting delay, refusal, correction, additional cost, penalty, storage charge, demurrage, detention, loss or other consequence.

6. Third-party procedures and limitations

The Client understands and accepts that many logistics, customs, ferry, port, terminal and inspection procedures depend on third parties.

BTB does not control and cannot guarantee:

  • customs decisions;
  • cargo release;
  • ferry acceptance;
  • ferry space availability;
  • ferry schedules;
  • port or terminal access;
  • terminal handling time;
  • veterinary, phytosanitary or other inspection results;
  • transit closure;
  • ENS / ICS2 assessment;
  • payment processor approval;
  • bank processing time;
  • shipping line or carrier decisions;
  • actions or omissions of authorities or operators.

BTB provides coordination, documentation support and operational assistance where applicable, but BTB does not control customs authorities, ports, terminals, ferry operators, rail operators, inspection bodies, competent authorities, payment processors, banks or official decisions.

Any timeframes communicated by BTB are estimates only, unless expressly confirmed in writing as binding by BTB.

7. Offers, prices and fees

Prices and fees may be displayed on the website, communicated by email, provided through the app or confirmed individually by BTB.

Unless expressly stated otherwise, prices may depend on:

  • type of service;
  • cargo type;
  • number of HS / CN codes;
  • number of documents;
  • route;
  • port or terminal;
  • vehicle type;
  • urgency;
  • third-party charges;
  • authority or operator requirements;
  • currency exchange differences;
  • additional work required due to missing or incorrect documents.

BTB may charge additional fees for extra work, corrections, amendments, urgent processing, additional HS / CN codes, extra communication, repeated submissions, document corrections or additional operational support caused by incomplete, incorrect or changed information.

Third-party charges, including but not limited to port charges, terminal charges, ferry charges, inspection charges, storage, demurrage, detention, bank fees or payment processor fees, may be charged separately unless expressly included in the confirmed offer.

8. Payment terms

Payment may be made by bank transfer, online card payment or other payment methods accepted by BTB.

Online card payments are processed securely through NETOPIA Payments. BTB does not store card details. Card payments are subject to authorization by the payment processor, the card issuer and the relevant banking systems.

A service may be processed only after payment confirmation and after BTB receives all required documents and information, unless BTB expressly agrees otherwise in writing.

The Client is responsible for paying the full amount indicated in the offer, invoice, payment page or payment request.

If payment is not received or is rejected, BTB may suspend, delay or refuse the service.

9. Start of service performance

The Client understands that many BTB services may start shortly after the request or payment, including document review, data entry, communication with third parties, preparation of declarations, booking coordination or operational follow-up.

By submitting a request, sending documents, confirming an offer or making payment, the Client authorizes BTB to begin processing the requested service, unless the Client expressly requests otherwise in writing and BTB confirms acceptance of such request.

Where the Client is a consumer and a statutory withdrawal right applies, the Client may be asked to expressly agree that BTB may start the service before the expiry of the withdrawal period and to acknowledge that the right of withdrawal may be lost after the service has been fully performed, as permitted by applicable law. Romanian OUG 34/2014 includes this logic for distance service contracts where performance starts with prior express consent and the consumer acknowledges the loss of withdrawal right after full performance.

10. Delivery and performance of services

BTB services are generally delivered electronically or operationally through:

  • email communication;
  • online request flow;
  • electronic documents;
  • declaration references;
  • booking coordination;
  • operational instructions;
  • communication with relevant parties;
  • status updates where applicable.

Because the services relate to logistics, customs, ports, terminals, ferry operators and authorities, performance time may vary depending on the completeness of documents, third-party availability, authority systems, operator schedules and cargo status.

BTB is not responsible for delays caused by incomplete documents, incorrect data, authority systems, third-party decisions, port or terminal congestion, ferry schedule changes, inspections, bank processing, force majeure or other circumstances outside BTB’s control.

11. Cancellations

The Client may request cancellation of a service by contacting BTB as soon as possible.

Cancellation is not always possible once work has started or once BTB has communicated with third parties, submitted data, prepared documents, created declarations, requested bookings, contacted terminals, coordinated inspections or performed other service activities.

If the Client cancels after BTB has started work, BTB may retain the amount corresponding to the work already performed, costs already incurred and non-refundable third-party charges.

If a third-party fee is non-refundable according to the rules of the relevant operator, authority, terminal, ferry operator or payment processor, BTB is not required to refund that amount.

12. Refunds

Refund requests are reviewed case by case.

A refund may be considered if:

  • the service has not started;
  • no third-party cost has been incurred;
  • no declaration, booking, submission, document processing or operational work has been performed;
  • the payment was made by mistake and no service was requested or performed.

A refund may be refused, fully or partially, if:

  • BTB has already started or completed the service;
  • documents were reviewed or prepared;
  • data was entered or submitted;
  • communication with third parties was performed;
  • a declaration, booking, inspection request or operational instruction was prepared or submitted;
  • the Client provided incorrect, incomplete or late information;
  • third-party charges are non-refundable;
  • the delay or refusal was caused by authorities, operators, terminals, ferry operators, banks, payment processors or other third parties.

Refunds for online card payments, where approved, are processed through the relevant payment channel and may depend on NETOPIA Payments, the acquiring bank, the issuing bank and card scheme rules.

13. Ferry booking coordination

BTB may provide ferry booking coordination for selected ferry routes.

The Client understands that BTB does not operate ferries and does not control ferry schedules, space availability, cargo acceptance, boarding, loading, port entry, terminal handling, final booking confirmation or sailing times.

Ferry booking requests depend on:

  • route availability;
  • ferry operator rules;
  • cargo type;
  • vehicle type;
  • documents provided;
  • payment confirmation;
  • port and terminal procedures;
  • customs and authority requirements;
  • operational conditions.

A ferry booking is not guaranteed until confirmed according to the applicable operator procedure.

BTB may assist with booking coordination, document checks, communication and operational follow-up, but ferry acceptance and final operational decisions remain with the ferry operator and other relevant parties.

14. Customs, transit and authority-related services

BTB may assist with customs, transit and authority-related documentation based on the information provided by the Client.

The Client understands that customs authorities, competent authorities and official systems may request additional information, documents, corrections, inspections, guarantees or other actions.

BTB does not guarantee that any customs declaration, transit procedure, ENS / ICS2 filing, CHED process, veterinary / phytosanitary procedure or other authority-related procedure will be accepted, released, closed or completed within a specific time.

The Client remains responsible for the accuracy and legality of the cargo, documents, declarations and instructions provided to BTB.

15. Communication

BTB may communicate with the Client by email, phone, online forms, messaging applications or other practical communication channels.

The Client is responsible for monitoring communications and responding promptly to requests for additional documents, clarifications, confirmations or payments.

Delays caused by late response from the Client are not the responsibility of BTB.

Instructions received from the Client’s representatives, employees, drivers, agents or other persons reasonably appearing to act on behalf of the Client may be treated as valid instructions unless BTB is informed otherwise in writing.

16. Client warranties

The Client confirms that:

  • the Client has the legal right to request the services;
  • the Client has authority to act for the cargo, company, transport operator or represented party;
  • all documents and information provided are accurate, complete and lawful;
  • the cargo is not prohibited, restricted or misdeclared;
  • the Client will provide all required permits, certificates and authorizations where applicable;
  • the Client will not use BTB services for illegal, fraudulent or sanctions-related activities.

BTB may refuse or stop providing services if BTB reasonably suspects that the request, cargo, documents, transaction or instruction may be illegal, misleading, incomplete, sanctioned, restricted or non-compliant.

17. Limitation of liability

To the maximum extent permitted by applicable law, BTB is liable only for direct damages caused by BTB’s proven fault in connection with the specific paid service.

BTB is not liable for indirect losses, loss of profit, loss of business opportunity, contractual penalties owed by the Client to third parties, loss of use, delays, storage, demurrage, detention, missed ferry departures, missed delivery windows or other consequential losses, unless such liability cannot be excluded under applicable law.

BTB is not liable for losses caused by:

  • incorrect, incomplete or late documents provided by the Client;
  • incorrect cargo description, HS / CN code, weight, value or package information;
  • customs or authority decisions;
  • ferry operator decisions;
  • port or terminal procedures;
  • inspection results;
  • bank or payment processor issues;
  • third-party delays;
  • force majeure;
  • changes in law, procedure, system availability or operator requirements.

Where permitted by law, BTB’s total liability for a service shall not exceed the fee actually paid to BTB for that specific service, excluding third-party costs, taxes, duties, port fees, ferry fees, terminal fees, storage, demurrage, detention or other external charges.

Nothing in these Terms excludes liability where such exclusion is not permitted by applicable law.

18. Force majeure

BTB is not responsible for delay or non-performance caused by events beyond its reasonable control, including but not limited to:

  • customs system failures;
  • port or terminal congestion;
  • ferry delays or cancellations;
  • strikes;
  • border closures;
  • war, conflict or civil unrest;
  • sanctions or regulatory changes;
  • natural disasters;
  • cyber incidents;
  • internet or communication failures;
  • payment system failures;
  • authority or operator system downtime;
  • other events outside BTB’s reasonable control.

19. Intellectual property

All website content, texts, design elements, service descriptions, forms, layouts and materials published on bt-bridge.com are owned by BTB or used with permission.

The Client may not copy, reproduce, distribute or use BTB materials for commercial purposes without prior written consent.

20. Data protection

BTB processes personal data in accordance with applicable data protection laws and the Privacy Policy published on the website.

Personal data may be processed for service requests, communication, invoicing, payment processing, documentation, compliance and operational coordination.

For online card payments, payment-related data may be processed by NETOPIA Payments and relevant financial institutions according to their own applicable terms and privacy information.

21. Refusal or suspension of service

BTB may refuse, suspend or stop providing services if:

  • the Client fails to pay;
  • documents are incomplete, incorrect or suspicious;
  • the request appears illegal, fraudulent or non-compliant;
  • the cargo appears prohibited, restricted or misdeclared;
  • required documents or authorizations are missing;
  • the Client fails to respond to requests for clarification;
  • BTB is required to do so by law, authority request or compliance considerations;
  • continuing the service may expose BTB to legal, financial or reputational risk.

22. Complaints and disputes

The Client may submit complaints by email to: info@bt-bridge.com

The complaint should include:

  • Client name and company;
  • service reference, invoice number or payment reference, if available;
  • description of the issue;
  • supporting documents;
  • requested resolution.

BTB will review complaints in good faith and respond within a reasonable time.

If a dispute cannot be resolved amicably, it shall be handled according to the applicable law and jurisdiction stated below.

23. Governing law and jurisdiction

These Terms are governed by the laws of Romania.

Unless mandatory consumer protection rules provide otherwise, disputes arising from or related to these Terms, the website or BTB services shall be submitted to the competent courts of Romania.

For business clients, the competent courts shall be the courts having jurisdiction over BTB’s registered office, unless otherwise agreed in writing.

24. Changes to these Terms

BTB may update these Terms from time to time.

The updated version will be published on the website and will apply from the effective date indicated above or from the date of publication, unless otherwise stated.

The Terms applicable to a service are the Terms in force at the time the Client submits the request, confirms the offer or makes payment, unless mandatory law provides otherwise.
